Vendor Agreement — Terms

All sales must be of tangible goods and related to the Copa Farmers Market’s core mission. The market reserves the right to decline or revoke vendor participation for businesses or organizations whose primary purpose is not aligned with the sale of products that fit within the Copa Farmers Market.

1. Vendor Information & Criteria:

All participating vendors must be 18 years of age or older or accompanied by an adult parent or legal guardian. Must meet our criteria and align with our mission and values. There is a limit of three (3) of same vendors selling exactly same products. This market is organized for vendors to only sell items that their business identifies with. We will not be responsible for your sales, nor do we ask for any percentage of your sales. All vendors must fill out the Vendor Agreement, meet our market criteria to be considered and be approved by the committee. If you are approved, you will be notified by email only. It is the Vendors’ responsibility to know and obtain any necessary food permits, licenses, etc. that may be required to sell at the farmers’ market. This can take some time especially if you are a food truck or food/beverage vendor. This must be on file with the committee at least five (5) days prior to the event. As for any changes regarding your business that affect the market, you must notify the committee within fourteen (14) days to ensure that you still meet our requirements, or you might not be able to participate. Booth/space sharing is prohibited in the market. If you are a non-profit organization, a one-time complimentary visit will be granted per year with applicable discounts to support the organization’s goals.

2. Vendor Approval:

The market reserves the right to accept or deny any Vendor Applicant based on, but not limited to, quality, market needs, duplication of products and alignment with the market’s mission. The market has the right to relocate a vendor based on needs and events, at the market committee’s discretion.

3. Vendor Space:

All Vendors must provide their own canopy, tables, chairs, etc. Vendors are responsible for keeping their area clean and free of debris. Vendors must be set up and ready to sell by 8:00 am. No vendor will be allowed to tear down before 12:00 pm unless special permission is granted by the committee. Vendors must not sell or display products outside their designated vendor area. Vendor space is 10x10 unless otherwise specified.

4. Conduct:

Vendors are expected to conduct themselves in a professional manner at all times. Vendors must treat customers, other vendors and market staff with respect. The market reserves the right to remove any vendor for inappropriate behavior or noncompliance with market rules.

5. Fees:

Vendor fees are non-refundable. Vendor fees must be paid to reserve space. The committee reserves the right to change vendor fees with notice.

6. Payment/Late Fees:

Payment is due within Three (3) days prior to the event to guarantee space and/or location. Payments may be made online only www.CopaFarmersMarket.com Any vendor that fails to pay before the due date will be subject to an automatic late fee of $10.00. Copa Farmers market committee reserves the right to deny vendor participation if payment is not received. Vendors who are unable to attend the market must notify the committee at least 24 hours prior to the event. If a vendor fails to notify the committee and does not attend, the vendor will forfeit the vendor fee paid. Payment will not be carried over to a future date.

7. Cancellation:

The market reserves the right to cancel any market date due to inclement weather, unforeseen circumstances, or other reasons. Vendor fees will not be refunded for canceled markets. Vendors will be notified via email and social media if a market is canceled.

8. Insurance Requirements:

All Vendors must provide proof of liability insurance. The COI must list Copa Farmers Market LLC, and Lowe’s as additionally insured. Vendors are responsible for maintaining current insurance coverage and providing updated documentation upon renewal. Vendors without proper insurance documentation may not be allowed to participate.

9. Liability:

Vendors agree to hold harmless and indemnify Copa Farmers Market LLC, and Lowe’s from any and all claims, damages, liabilities, costs or expenses (including reasonable attorney fees) arising out of or in connection with the vendor’s participation in the market.

10. Vendor Responsibility:

Vendors are solely responsible for their products, sales, permits, licenses and compliance with all applicable laws and regulations. Vendors must follow all market rules and instructions from market staff.

11. Display & Safety:

Vendors must secure their tents/canopies with appropriate weights. The market is not responsible for damages caused by wind, weather or other conditions. Vendors must maintain safe booth conditions and follow all fire/safety requirements.

12. Compliance:

Vendors must comply with all applicable federal, state and local laws, regulations and ordinances. Vendors selling food must comply with all health department requirements and provide necessary permits upon request.

13. Market Operations:

The market committee reserves the right to interpret and enforce all market rules. The committee may modify market rules as needed and will communicate changes to vendors.

14. Photos/Marketing:

Vendors grant permission for the market to use photos of vendor booths, products and vendors for promotional purposes on the market’s website, social media and marketing materials.

15. Signage:

Vendors are encouraged to display professional signage with business name and pricing. Vendors must clearly label products and comply with any labeling requirements.

16. No Soliciting:

Vendors may not solicit customers outside of their booth space. Vendors may not distribute materials that are not related to their products or business without approval from the committee.

17. Default:

If a Vendor fails to comply with market rules, the committee may take corrective action including warnings, relocation, or removal from the market. The committee’s decision is final.

18. Indemnification:

Vendor agrees to indemnify, defend and hold harmless Copa Farmers Market LLC, and Lowe’s from and against any and all claims, demands, suits, damages, liabilities, losses, costs and expenses (including attorney’s fees) arising out of or related to Vendor’s acts, omissions, products, or participation in the market.

19. Fire/Safety Inspections:

All vendors are subject to fire and safety inspections at any time.

20. Use of Facilities:

Copa Farmers Market, and Lowe’s reserves the right to impose reasonable time, place and manner restrictions on the use of Lowe’s facilities by any member of the public or the Vendor.
